What is CSRD?
The Corporate Sustainability Reporting Directive (CSRD) is an EU directive that obliges companies to report transparently on their social, environmental, and economic impacts.
The CSRD specifies what companies must report on regarding environment, society, human rights, and their governance. This includes plans for the near, medium, and distant future. It demands more than the old regulation, which was known in Germany as the CSR Directive Implementation Act, and replaces it.
Which companies are affected by CSRD? [Updated]
Important Note: The EU Commission has made a proposal to amend the thresholds with the Omnibus. The following information is still valid as of today, but may change.
Specifically, the following companies are required to report:
- Large companies (regardless of capital market orientation) that fulfill two of the following three criteria:
- Balance sheet total of more than EUR 25 million
- Turnover greater than 50 million euros
- Over 250 employees
- Capital market-oriented small and medium-sized enterprises (SMEs)
- Non-European companies that generate a turnover of more than 150 million in the EU and have at least one subsidiary or branch in the EU
The expected thresholds are 1,000 employees and €450 million in revenue.
The time horizon for implementing the requirements has also been postponed by 2 years for most companies.
Companies below these thresholds can voluntarily prepare a sustainability report according to the VSME Standard.
What Does "Double Materiality" Mean?
“Double Materiality” in the context of the CSRD refers to two types of Materiality Assessment in sustainability reporting:
- External Materiality: How do a company’s business activities affect the environment and society? This can include environmental impacts, social impacts, human rights violations and other relevant topics.
- Internal materiality: How do environmental, social and governance issues affect the company’s economic performance? For example, this could be risks or opportunities arising from climate change, social inequalities or corporate governance that could affect the company’s financial stability or business models.
The aim is to achieve balanced reporting that takes into account both social and business impacts.
